Terms & Conditions of Sale

These Miller Edge Terms and Conditions of Sale apply to Miller Edge’s acceptance of any purchase order submitted by you as a customer. Any purchase order or other document issued by you will not modify these Terms unless agreed to by Miller Edge in a signed writing.

Definitions

  • Customer: The purchasing entity
  • Order: A purchase order submitted by Customer
  • Products: Goods supplied by Miller Edge
  • Non-Returnable Products: Items identified as non returnable in these Terms
  • Business Days: Monday through Friday, excluding holidays

Terms

All products ship F.O.B. Origin – West Grove, PA or Tempe, AZ. Title and risk of loss pass to Customer upon delivery to the carrier. All prices are in U.S. Dollars.

Payment

Payment terms are as stated on the invoice or order acknowledgment. A deposit may be required on certain orders. Acceptable payment methods include cash, check, ACH, wire, and credit card. All late payments accrue interest at 1.5% per month (or the maximum allowed by law). Customer agrees to pay all attorney fees, court costs, and expenses incurred in collection efforts.

Pricing Applied at Time of Shipment

Orders will be billed at prices in effect at the time of shipment. Miller Edge will provide notice of price changes when feasible.

Delivery

Miller Edge assumes no liability for delays caused by circumstances beyond its reasonable control. Liability for delay does not include indirect, consequential, incidental, special, or punitive damages.

Shipping

  • Most orders ship via standard small parcel carriers.
  • LTL & Oversize Shipments: Orders exceeding parcel limits may ship via LTL freight; additional handling and transit time may apply.
  • Timing: Ship dates are estimates only.
  • Charges: Shipping charges are calculated at shipment and included on the invoice.

Lead Time

Stock items normally ship within 1–2 business days. Lead times for manufactured items vary based on product and volume.

Rush Service

Rush service is not guaranteed and may be offered at Miller Edge’s discretion, subject to capacity and additional fees.

Warranty & Disclaimer

Miller Edge warrants its products to be free from defects in materials and workmanship under normal use, as determined solely by an authorized Miller Edge representative. Misuse or abuse voids all warranties. Warranty covers repair or replacement only and excludes labor. Complete warranty details are available at www.milleredge.com/warranty

EXCEPT AS EXPRESSLY PROVIDED, MILLER EDGE PRODUCTS AND SERVICES ARE PROVIDED “AS IS” WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON INFRINGEMENT, OR WARRANTIES ARISING FROM COURSE OF DEALING.

Packages must be inspected upon receipt, and discrepancies must be reported within 5 days.

Returns & Restocking

Except for Non-Returnable Products, returns not covered by warranty are subject to a 25% restocking fee within 90 days of purchase. No returns accepted after 90 days. All returns require an RMA number and must be unused, uninstalled, and in resalable condition.

Non-Returnable Products include discontinued items, series connected edges, MG edges longer than 8 ft or shorter than 4 ft, special/custom MT and MU edges, and any custom non standard sensing edge.

Tools

Tools, molds, and dies made for Customer are Customer property but must remain at Miller Edge while in use. Miller Edge maintains them but may dispose of them after 2 years of inactivity.

Patents

Miller Edge will defend Customer against U.S. patent infringement claims arising solely from normal use of standard Miller Edge products, provided Customer promptly reports claims and grants Miller Edge full control of the defense.

Packing

Products are shipped using standard commercial packaging suitable for normal transportation and handling. Special or custom packaging requests must be arranged in advance and may incur additional charges.

Changes by Customer

Prices may be adjusted if Customer changes specifications, quantities, or delivery requirements after order acceptance.

Termination

Customer must pay reasonable charges for costs incurred due to termination or reduction of an order.

Liability Cap

Miller Edge’s total liability for any claim relating to the Products shall not exceed the amount paid for the specific Product giving rise to the claim.

Force Majeure

Miller Edge is not liable for failure or delay due to causes beyond its reasonable control, including supply shortages, labor issues, transportation delays, or acts of God.

Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania. All disputes must be brought exclusively in Pennsylvania state or federal courts.

Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements.
